Advisor Medallions™ Terms of Use

1) Definitions

For purposes of these Terms of Use (“Terms”):

• “Advisor Medallions™,” “we,” “us,” or “our” refers to Advisor Medallions™ and its affiliates.
• “Site” means the Advisor Medallions™ website and related web pages, applications, and portals.
• “Service” means the services made available through Advisor Medallions™, including facilitating medallion signature guarantee requests through third-party providers.
• “Member,” “you,” or “your” means the person creating or using an Advisor Medallions™ account.
• “Verify My Signature™” or “VMS™” refers to our sister company, Verify My Signature™.
• “Provider” means Carl S. Karmin, P.A., or any successor or replacement provider used by VMS™ for medallion signature guarantee stamp services.
• “Referred Client” means any customer/client referred by you through your Advisor Medallions™ account.

2) User Eligibility; Identity Verification; Payment Authorization



You represent and warrant that you are the person legally responsible for all use of your Advisor Medallions™ account.

You agree to provide Advisor Medallions™ and its affiliates with your full legal name, mailing address, and telephone number. To provide the Service, we may require additional information to verify your identity, including, without limitation: legal name, date of birth, current address, and government-issued photo identification. You agree to provide requested information promptly, and you represent and warrant that all information you submit is true, accurate, and complete. You agree to keep your account information current.

You also represent and warrant that you are an authorized user of any credit card, debit card, checking account, or PayPal account you provide in connection with your use of the Service.

You understand and agree that information about you and your transaction(s) may be shared with third parties as necessary to provide the Service, process transactions, prevent fraud, comply with legal obligations, and complete requests, and that such third parties may communicate with you directly regarding your transaction(s).

3) Permitted Use of Your Account (Business Use Only; No Resale)



You may use your Advisor Medallions™ account only in connection with your legal, advisory, or related professional business for the purpose of referring your customers for medallion signature guarantees.

You are the only person authorized to use your account. You may not re-market, re-sell, or repackage our services as independently priced services. For clarity, you may not present yourself as a provider of medallion signature guarantees or sell medallion signature guarantee services to others as your own under your Advisor Medallions™ account.

4) No Legal, Tax, or Investment Advice; Provider; Authorization to Share Information

Medallion signature guarantee services made available through Advisor Medallions™ are provided by our sister company, Verify My Signature™ (“VMS™”). VMS™ is owned by VMS Medallion, LLC, a Delaware limited liability company.

VMS™ currently refers customers for medallion guarantee stamp services exclusively to Carl S. Karmin, P.A. (the “Provider”). Mr. Karmin has been a member of The Florida Bar since January 19,1984 and provides medallion guarantee stamp services as a member of the Securities Transfer Agents Medallion Program (“STAMP”).

No advice. Advisor Medallions™, VMS™, their affiliates, and their respective owners, officers, directors, employees, agents, and service providers (including the Provider) do not provide legal, tax, or investment advice. No legal, tax, or investment advice is offered or provided in connection with the Site or Service, and no fees are accepted for such advice. You understand that the Provider does not provide legal, tax, or investment advice to you or your Referred Clients.

Sharing information. You authorize Advisor Medallions™ and VMS™ to share information and documentation with the Provider as necessary to: (i) evaluate and, if approved, provide a medallion signature guarantee for you or your Referred Clients; (ii) perform identity verification and fraud prevention; and (iii) manage your account and related transactions.

Provider discretion. ALL MEDALLION SIGNATURE GUARANTEES ARE PROVIDED BY THE PROVIDER AND ARE SUBJECT TO THE PROVIDER’S SOLE REVIEW AND APPROVAL. THE PROVIDER MAY APPROVE OR DECLINE ANY REQUEST IN THE PROVIDER’S SOLE DISCRETION.



Industry procedures. Any signature guarantee services are performed in accordance with applicable industry procedures, processes, and guidelines.

5) Referred Client Eligibility Representations

You represent and warrant that each Referred Client:

1. Is known to you and is an active client of yours;
2. Is of the age of majority in their applicable jurisdiction
3. Is legally competent at the time of the request to complete the transaction for which the medallion signature guarantee is sought; and
4. Is properly authorized to complete the transaction for which the medallion signature guarantee is requested.

6) Fees; Pricing; Payment Disputes; Refunds

Pricing. Advisor Medallions™ may post pricing on the Site and may change pricing at any time. Current pricing (if posted) may be available at: https://www.advisormedallions.com/shop

Payment processing. You authorize Advisor Medallions™ and its payment processors to charge your selected payment method for applicable fees, including any taxes and shipping charges.

Timing / review fee. If a medallion stamp is affixed and the customer does not purchase the medallion stamp within 48 hours, then: (i) any price changes during that period may apply; and (ii) after 72 hours, Advisor Medallions™ may charge an additional $75 per medallion stamp review fee.

Refunds. If Advisor Medallions™ and/or its affiliates decline to provide the Service for a specific request, we will refund the fees paid for the declined Service, unless otherwise prohibited by law or by payment processor rules. Shipping costs and third-party charges (including carrier charges) are generally non-refundable once incurred, unless required by law or refunded by the applicable third party.

Chargebacks / disputes. If you dispute a charge or initiate a chargeback, you agree to cooperate with Advisor Medallions™ and provide documentation reasonably requested to investigate and respond. Advisor Medallions™ may suspend services and account access while a dispute is pending.

7) Unlawful or Prohibited Use

As a condition of your use of the Service, you represent and warrant that you will not use the Site or Service for any unlawful purpose or in violation of any applicable law or regulation.

8) Zero-Tolerance Spam Policy; Text Messaging Compliance

Advisor Medallions™ maintains a zero-tolerance policy regarding unsolicited email or text messages (“spam”). Any Member who sends spam may have their account terminated without notice.

If you send spam advertising Advisor Medallions™, VMS™, or our services (including any short code), you agree that you may be billed $100.00 per recipient to whom such message was sent, regardless of whether the messages were sent from our systems, an affiliate’s systems, or third-party systems.

All commercial text messages must comply with applicable federal, state, and local laws. Advisor Medallions™ reserves the right, in its sole discretion, to require changes to or disable any website, account, database, or other component that does not comply with this policy, including on an emergency basis. Advisor Medallions™ will not be liable for damages related to spam sent by you.

Attorneys’ fees. To avoid conflict with the indemnity section, the attorneys’ fees provisions in these Terms apply notwithstanding any dispute regarding spam or policy violations.

9) Shipping; Delivery; Address Verification

Advisor Medallions™ is not responsible for delivery timeframes when you purchase shipping from third-party providers.

Advisor Medallions™ ships only to verified addresses. Delivery options may include carriers such as Federal Express and/or other carriers, and the carrier offered may vary by destination and availability. If the carrier initially selected is unavailable for your address, Advisor Medallions™ may select an alternative carrier and a comparable service level.

Delivery time estimates are not guaranteed and may vary based on location and carrier operations. Overnight or expedited service may not be available in all areas; when unavailable, we will arrange the fastest service offered by the carrier for your destination.

Advisor Medallions™ is not responsible for late, failed, or missed deliveries. However, as a courtesy, we may assist customers in locating missing or delayed shipments and in seeking shipping refunds from carriers when appropriate.



Orders received after 2:00 p.m. Eastern Time are processed for outgoing mail the next business day.

10) Use of the Site; Accurate Information; No Automated Access; No Scraping

You represent and warrant that all information you provide is accurate and not false or misleading. You agree not to use robots, scripts, scraping tools, or other automated means to create accounts, submit information, access the Site, or otherwise interact with the Service.

You agree not to scrape, harvest, or extract information from the Site, including information about other users or Members. You also agree not to use the Site to communicate with other users unless expressly enabled by us.



Illegal use of the Site may result in a $100 per-incident charge or the maximum penalty permitted by law, whichever is greater, in addition to any other rights or remedies available to Advisor Medallions™.

11) Record Retention; Documents

You understand that Advisor Medallions™ may retain certain documents and records in electronic form for account history, compliance, and operational purposes.



We do not retain physical documents sent to us. Except for documents that must be returned after stamping, all physical documents are shredded upon completion of your file.

12) Service Availability; Discretion; Verification; International Transactions

Advisor Medallions™ and its affiliates may provide or decline to provide services in their sole discretion, including based on identity verification, fraud prevention, compliance obligations, capacity, or operational considerations.

You understand and agree that Advisor Medallions™ does not directly provide medallion signature guarantees; guarantees are provided only by the Provider, subject to the Provider’s procedures and approval. Payments may be processed with reference made to “Advisor Medallions™.”



Advisor Medallions™ may impose additional charges for transactions involving non-U.S. citizens or transactions initiated from outside the United States.

13) Suspension or Termination

Advisor Medallions™ may suspend or terminate any Member’s account in its sole discretion, including for suspected fraud, failure to provide required verification information, violation of these Terms, or unlawful or prohibited use.

14) Electronic Communications; Consent to Contact

You consent to receive communications from Advisor Medallions™ electronically (including by email, SMS/text message, phone call, and notices posted on the Site) regarding your account, transactions, identity verification, service updates, and customer support.



You agree that electronic communications satisfy any legal requirement that such communications be in writing. Message and data rates may apply for SMS/text messages.

15) Privacy Policy

We respect the privacy of our users. Personal information collected on this Site is maintained as confidential and is used to fulfill orders and provide the Service.

Advisor Medallions™ considers its email lists, membership databases, and related business information to be among its primary assets. If Advisor Medallions™ or any affiliate is involved in a transaction in which its assets or equity are acquired by a third party, information collected in connection with your use of the Site or Service may be transferred to the acquiring party, provided the acquiring party agrees to use a comparable standard of care consistent with this Privacy Policy.

16) Disclaimer; Limitation of Liability

ALL INFORMATION AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. ADVISOR MEDALLIONS™ DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.



Advisor Medallions™ is not responsible for malicious code, delays, inaccuracies, errors, or omissions arising from your use of the Site or Service. You assume all risk as to the quality, accuracy, performance, timeliness, adequacy, completeness, correctness, authenticity, security, and validity of the Site and Service.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ADVISOR MEDALLIONS™’S AGGREGATE LIABILITY UNDER THESE TERMS EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT ACTUALLY PAID BY YOU THAT GAVE RISE TO THE CLAIM, WHICHEVER IS GREATER. TO THE FULLEST EXTENT PERMITTED BY LAW, ADVISOR MEDALLIONS™, ITS SUCCESSORS AND ASSIGNS, AND ITS AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, LICENSORS, SERVICE PROVIDERS, ADVERTISERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO THE SITE, THE SERVICE, OR THESE TERMS.

Some jurisdictions do not allow certain warranty exclusions or limitations of liability, so some provisions may not apply to you.

17) Indemnity

You agree to indemnify, defend, and hold harmless Advisor Medallions™, Verify My Signature™, and their respective owners, subsidiaries, affiliates, officers, directors, attorneys, agents, service providers, and employees from and against any and all claims, demands, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) your use of the Site or Service; (ii) your breach of these Terms; (iii) your violation of any law; (iv) your violation of the rights of any third party; or (v) any act or omission by you or your Referred Clients.

18) Changes to These Terms

Advisor Medallions™ may amend these Terms by posting updated terms on the Site. Updated terms are effective as of the time of posting. Advisor Medallions™ is not required to provide additional notice of changes.

19) Severability; Entire Agreement; Assignment; No Waiver

Severability. If any provision of these Terms is held unlawful, void, or unenforceable, the remaining provisions remain in full force and effect.
Entire Agreement. These Terms constitute the entire agreement between you and Advisor Medallions™ regarding the Site and Service and supersede all prior or contemporaneous agreements or understandings.
Assignment. You may not assign these Terms without our prior written consent. Advisor Medallions™ may assign these Terms without restriction.
No Waiver. Our failure to enforce any provision of these Terms will not be a waiver of that provision or any other provision.

20) Governing Law; Venue; Jury Trial Waiver

These Terms and your use of the Service are governed by the laws of the State of Florida, without regard to conflict-of-laws rules.

You agree to exclusive jurisdiction and venue in the state and federal courts located in Broward County, Florida, and you waive any objection to jurisdiction or venue.

IN ANY ACTION OR PROCEEDING RELATED TO THESE TERMS OR THE SITE OR SERVICE, YOU WAIVE ANY RIGHT TO A TRIAL BY JURY.
